Terms and Conditions

These Terms and Conditions constitute a legally binding agreement entered into between you (whether personally or on behalf of an entity, “Client”, “User”, or “You”) and Firmbeginners It Solutions Private Limited (operating commercially under the registered brand WorkSaar, having its principal operational office at Nahar Chowk Godda, Jharkhand, India – 814133).

By accessing or using the website worksaar.com, engaging our enterprise software engineering contracts, signing Statements of Work (SOW), or registering an account on any of our flagship software platforms (including YatriCare, WhatCent, and SkoolWala), you expressly certify that you have read, understood, and agreed to be legally bound by all of these Terms and Conditions.

Firmbeginners It Solutions Private Limited delivers advanced digital solutions across two core operating divisions:

To access certain features of our platforms, you will be required to register an account. In registering, you agree to:

• Provide accurate, current, and complete corporate and personal registration details.
• Maintain and promptly update account details to ensure continuous accuracy.
• Safeguard your authentication credentials and notify us immediately at support@worksaar.com upon discovering any unauthorized account access or security compromise.
• Accept sole responsibility for all actions, API requests, automated workflows, and financial liabilities originating under your registered account credentials.

In utilizing WorkSaar platforms and engineering deliverables, you expressly agree not to:

• Reverse engineer, decompile, disassemble, or derive the source code of any WorkSaar proprietary algorithm, platform, or internal SDK.
• Use WhatCentto transmit unsolicited spam, unlawful promotional broadcasts, harassment, or messages violating Meta’s official WhatsApp Commerce & Business Policies.
• Use YatriCare for illicit transit, hazardous material transport, or falsification of driver KYC credentials.
• Inject malicious payloads, viruses, Trojan horses, or automated scrapers intended to disrupt or overburden our cloud infrastructure.
• Resell, sublicense, or distribute WorkSaar software to unauthorized third parties without prior written consent from Firmbeginners It Solutions Private Limited.

Unless otherwise agreed in a separate bilateral master services agreement signed by Firmbeginners It Solutions Private Limited:

• WorkSaar Proprietary IP: All pre-existing frameworks, core architectures, proprietary SaaS engines (YatriCare, WhatCent, SkoolWala), trademarks, brand assets, and internal developer tooling remain the exclusive intellectual property of Firmbeginners It Solutions Private Limited.
• Client Bespoke Deliverables: In custom software development engagements, upon full receipt of all contractually agreed milestone payments, copyright ownership of custom application source code developed specifically for the client will transfer to the client as stipulated in the relevant SOW.
• Brand & Trademark Protection: The trademarks WorkSaar, YatriCare, WhatCent, and SkoolWala are protected commercial marks owned by Firmbeginners It Solutions Private Limited. No right or license is granted to use these marks without express written authorization.

All commercial payments, subscriptions, and milestone fees are managed through our corporate finance division:

• Invoicing & Taxes: All fees are exclusive of applicable Indian Goods and Services Tax (GST), which will be levied in accordance with prevailing statutory tax regulations. Invoices are dispatched from billing@worksaar.com.
• SaaS Subscriptions: Subscriptions for WhatCent, YatriCare driver modules, and SkoolWala are billed on a recurring basis (monthly or annually) in advance. Subscriptions renew automatically unless canceled prior to the renewal date.
• Enterprise Software Milestones: Custom engineering projects are governed by phased milestone schedules. Payment for each milestone is due within the term specified on the invoice (standard Net-7 or Net-15 days).
• Late Payments: Unpaid invoices beyond thirty (30) days from due date may result in immediate temporary suspension of SaaS tenant access or pauses in custom development sprints until accounts are reconciled with accounts@worksaar.com.

We endeavor to deliver reliable, enterprise-grade uptime across all hosted products with an operational target of 99.5% availability for production cloud services, excluding scheduled maintenance windows announced in advance.

To the maximum extent permitted by applicable Indian law, in no event shall Firmbeginners It Solutions Private Limited, its directors, employees, or affiliates be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost data, or business interruption—arising from your use of our platforms or deliverables.

Our aggregate financial liability to you for any cause whatsoever, regardless of the form of action, shall at all times be strictly limited to the actual amount paid by you to Firmbeginners It Solutions Private Limited during the three (3) month period immediately preceding the event giving rise to the claim.

These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, breach, or termination, shall first be attempted to be resolved amicably through good-faith mediation between senior executives within thirty (30) days.
